Terms of Service
The rules for using shipd, written for customers in the United States and the European Union.
Agreement
These Terms of Service (“Terms”) govern access to and use of shipd, including useshipd.com, app.useshipd.com, related APIs, SDKs, CLI, documentation, and services (the “Service”).
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
shipd is not yet operated by a separately registered legal entity. “shipd,” “we,” “us,” and “our” refer to the operators of the Service. These Terms will be updated when a legal entity is designated.
The Service
shipd provides feature-flag and related delivery tooling so teams can define, review, and evaluate feature access. Features, limits, and pricing may change. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.
Beta or early-access features are provided as-is and may be changed or withdrawn at any time.
Accounts and eligibility
- You must provide accurate account information and keep credentials confidential
- You are responsible for activity under your accounts and organizations
- You must be old enough to form a binding contract in your jurisdiction (and at least 16 where GDPR applies to offering information society services to children)
- We may refuse, suspend, or terminate accounts that violate these Terms or create risk
Acceptable use
You agree not to:
- Violate law or third-party rights
- Probe, scan, or attack the Service except through authorized security research coordinated with us
- Interfere with or disrupt the Service or other customers
- Circumvent usage limits, access controls, or billing
- Upload malware or abusive content
- Resell or sublicense the Service except as expressly allowed
- Use the Service to process data you are not authorized to process
Customer data and privacy
You retain rights to content and data you submit to the Service (“Customer Data”). You grant shipd a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service and as otherwise described in our Privacy Policy and Subprocessors list.
You are responsible for the lawfulness of Customer Data you submit, including notices and consents for end-user data. Our Privacy Policy and Cookie Policy explain how we handle personal information.
Plans, fees, and taxes
Paid plans are billed according to the plan you select and any order or checkout terms. Fees are generally non-refundable except where required by law or expressly stated. You authorize us and our payment processors to charge your payment method for applicable fees and taxes.
We may change prices with notice for the next renewal period. Failure to pay may result in suspension or termination of paid features.
Consumers in the EEA/UK may have mandatory cooling-off or cancellation rights for distance contracts; where those rights apply, they are not limited by this section.
Intellectual property
shipd and its licensors own the Service, including software, branding, and documentation. These Terms do not transfer ownership. We grant you a limited, non-exclusive, non-transferable right to use the Service as permitted by your plan.
Feedback you provide may be used by shipd without obligation to you.
Third-party services
The Service may integrate with third-party products. Those services are governed by their own terms and privacy policies. shipd is not responsible for third-party services.
Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer protections in the EEA/UK.
Limitation of liability
To the maximum extent permitted by law, shipd and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) amounts you paid to shipd for the Service in the twelve (12) months before the claim or (b) one hundred U.S. dollars (US $100) if you have not paid fees.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted.
Indemnity
You will defend and indemnify shipd and its operators against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service in violation of these Terms or law, or your infringement of third-party rights, except to the extent caused by our willful misconduct.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if continued use creates risk to the Service or others. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including IP, disclaimers, limitations, indemnity, and governing law) will survive.
Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except that:
- If you are a consumer habitually resident in the EEA, UK, or another jurisdiction with mandatory consumer protections, those protections apply and you may bring proceedings in your local courts
- If you are contracting as a business, exclusive venue for disputes is the state or federal courts located in Delaware, USA, unless mandatory law requires otherwise
Before filing a claim, you agree to try to resolve the dispute informally by contacting hey@useshipd.com.
Export and sanctions
You must comply with applicable export control and sanctions laws. You may not use the Service if you are prohibited from receiving U.S. or EU services under those laws.
Changes to these Terms
We may update these Terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance, except where mandatory law requires express consent or a different process. If you do not agree, stop using the Service.
Miscellaneous
- These Terms are the entire agreement regarding the Service and supersede prior agreements on the subject
- If a provision is unenforceable, the remainder stays in effect
- Failure to enforce a provision is not a waiver
- You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale
- Notices may be sent to your account email or posted on the Service
